M.M.G. Constructions LLP</strong>, a limited liability partnership incorporated under the provisions of the Limited Liability Partnership Act, 2008, bearing <strong>PAN: AASFM2837M</strong>, represented by its Designated Partner and Authorized Signatory Sri. Jayaramu S/o. Late Ramegowda, having its Registered Office at: No.617, First Floor, New KantharajuUrs Road, Kuvempunagar, Chamaraja Mohalla, Mysore – 570023, Karnataka, hereinafter referred to as the ‘<strong>VENDOR</strong>’ (which expression shall unless repugnant to the context or meaning thereof be deemed to mean and include the partners or partner for the time being of the said firm, the survivor or survivors of them and their heirs, executors, successors, attorneys, permitted assigns and administrators of the last surviving partner and his/her/their assigns) <strong>OF THE ONE PART</strong>;</p> <h4 style="text-align:center;">INFAVOUR OF</h4> <p><strong>Sri. Manjunath C K S/o Sri C K Krishnegowda, aged about 29 years, Residing at #Bidarahalli Farm House, Margonahally post, Kikkeri Hobli, K R Pete Talluku, Mandya - 571423. (Aaadhar No. 6031 7860 6708 & PAN No. BOFPM1043D).</strong> hereinafter referred to as the “<strong>PURCHASER</strong>” (which expression shall unless repugnant to the context or meaning thereof be deemed to mean and include his/her successor-in-interest and permitted assignees) <strong>OF THE OTHER PART</strong>.</p> <p>The <strong>Vendor</strong> and <strong>Purchaser</strong> shall hereinafter collectively be referred to as the “Parties” and individually as a “Party”.</p> <h4><strong>WHEREAS:</strong></h4> <table class="table"> <tbody> <tr> <th scope="row"><strong>A. </strong></th> <td>Originally the larger extent of lands in Survey Numbers - 2, 3, 4, 5, 6, 7, 8, 9, 17, 20, 25, 27, 28, 29, 30, 31, 32, 33, 34, 35, 37, 38 and 43 situated at Kuppedada Village, BelagolaHobli, Srirangapatna Taluk which belonged to Government of His Highness, the Maharaja of Mysore were granted to the M/s. Mysore Chemicals and Fertilizers Limited for the establishment of a factory vide Order dated 27/09/1937 bearing No. D-2533-2613-I & C-103-37-I, subsequent to which possession of the said lands was delivered to M/s. Mysore Chemicals and Fertilizers Limited.</td> </tr> <tr> <th scope="row"><strong>B. </strong></th> <td>Further, the lands in Survey Numbers - 1, 10, 11, 12, 13, 14, 15/1, 15/2, 16, 18, 19, 21, 24, 26, 36, 39, 40, 41, 42, 44 and 45 situated at Kuppedada Village, BelagolaHobli, SrirangapatnaTaluk were acquired by the then Government of His Highness the Maharaja of Mysore vide Notification No. D-1038-I& C-103-37-38 dated 09/08/1938, D-3246-I & C-103-37-37 dated 09/08/1938 and D-3248-I& C103-37-39 dated 11/10/1938. After conclusion of the acquisition proceedings, the said lands were also handed over to M/s. Mysore Chemicals and Fertilizers Limited vide letter issued by the Land Acquisition Officer, French Rocks ( Now it is called Pandavapura) dated 27/06/1941 vide Order No. L.A.C38/38-39. The lands so acquired and handed over to M/s. Mysore Chemicals and Fertilizers Limited for the purpose of industrial use were utilized by it for the said purposes. After having run the factory for several years M/s. Mysore Chemicals and Fertilizers Limited due to financial constraints filed a petition for winding up of the Company in Company Petition No. 15/1972 before the Hon'ble High Court of Karnataka and by its Order dated 14/12/1973, the Hon’ble High Court of Karnataka, was pleased to order for the winding up of the said Company.</td> </tr> <tr> <th scope="row"><strong>C. </strong></th> <td>In pursuance of the above order, the Official Liquidator was appointed for liquidation of the assets of the company including the aforesaid lands on which the factory had been established. Tenders were called for by the Official Liquidator to which M/s. Gammon India Limited tendered its bid. The same was accepted at the Public Auction held on 27-06-1975. M/s Gammon India Limited made a deposit on 27.06.1975 with the Official Liquidator in compliance with the conditions of the tender. By a report dated 01.07.1975, the Official Liquidator under the guidance and supervision of the Hon’ble High Court of Karnataka recommended acceptance of the said bid offered by M/s. Gammon India Limited and confirmation of the sale in favour of the said bidder M/s. Gammon India Limited.</td> </tr> <tr> <th scope="row"><strong>D. </strong></th> <td>Subsequently, on 11.07.1975, the Hon’ble High Court of Karnataka having accepted the bid tendered by M/s. Gammon India Limited, confirmed the sale of the assets of the Mysore Chemicals and Fertilizers Limited in favour of M/s. Gammon India Limited. After payment of entire bid amount, M/s. Gammon India Limited was put in possession of the said lands along with other lands in August 1975 and the khatha of the said lands was also transferred to its name in the revenue records under M.R. No. 2 and 3/1975-76.</td> </tr> <tr> <th scope="row"><strong>E. </strong></th> <td>The Hon’ble High Court in the said winding up proceedings directed execution of Sale Deed in respect of the aforesaid lands in favour of M/s. Gammon India Limited. The Mysore Chemicals and Fertilizers represented by the Official Liquidator, High Court of Karnataka conveyed the above said lands along with other lands under the Sale Deed dated 21/04/1979, registered as document No. 57-1979-80, Book-1, Vol. 1545 pages 227 of 79-80 in the Office of the Sub-Registrar, Srirangapatna.</td> </tr> <tr> <th scope="row"><strong>F. </strong></th> <td>M/s. Gammon India Limited having become the absolute owner subsequently sold the aforementioned lands and other lands in favour of M/s. Chemicarb Private Limited under Sale Deed dated 02/12/1992 registered as document No. 1013/1992-93, Book-1, Vol-1722, in the Office of the Sub-Registrar, Srirangapatna. The revenue records in respect of the lands purchased by M/s. Chemicarb Private Limited was mutated and transferred to its name vide MR No. 4 and 5/2006-07. Certain inadvertent mistakes that had crept into the Sale Deed were rectified subsequently under the Rectification Deed dated on 16.07.2012, registered as document No. 1554/2012-13, in Book I, stored in CD No. SRPD-76, in the Office of the Sub-Registrar, Srirangapatna.</td> </tr> <tr> <th scope="row"><strong>G. </strong></th> <td>Thereafter the above landed propertycame within the administrative and municipal jurisdiction of Hulikere Grama Panchayath, Srirangapatna Taluk, and further came to be assessed for property taxes being assigned with municipal Number 59.</td> </tr> <tr> <th scope="row"><strong>H. </strong></th> <td>M/s. Chemicarb Private Limited obtained change of land use for the aforesaid lands from industrial to residential purposes by paying the necessary charges, vide order passed by the Deputy Commissioner, Mandya District, Mandya, on 04.11.2016, bearing No. ALN(2)MISC-60/2015-16. <br> <ol style="list-style-type: none;"> <li>a. Sy. No. 2 measuring 22 guntas,</li> <li>b. Sy. No. 15/1 measuring 5 Acres 19 guntas,</li> <li>c. Sy. No. 16 measuring 2 Acres 09 guntas</li> <li>d. Sy. No.19 measuring 5 Acres 32 guntas, </li> <li>e. Sy. No. 20 measuring 2 Acres 37 guntas, </li> <li>f. Sy. No. 39 measuring 19 guntas</li> <li>g. Sy No.40 measuring 1 Acre 06 guntas</li> <li>h. Sy No.41 measuring 19 guntas</li> <li>in all measuring 19 Acres 03 guntas</li> </ol> </td> </tr> <tr> <th scope="row"><strong>I. </strong></th> <td>The ‘A’ Kharab lands in Sy. No. 2 measuring 16 guntas, Sy. No. 3 measuring 04 guntas, Sy No.4 measuring 26 guntas, Sy No. 6 measuring 1.00 Acre, Sy No. 7 measuring 05 guntas, Sy No. 18 measuring 07 guntas, Sy No. 21 measuring 03 guntas, Sy. Chemicarb Private Limited Vide Official Memorandum of Deputy Commissioner, Mandya District, Mandya, dated 03.04.2017, bearing No. ALN(2) MISC:59,60,61,68/2015-16.</td> </tr> <tr> <th scope="row"><strong>J. </strong></th> <td>M/s. R.R. Developers came to be reconstituted vide Deed of Reconstitution dated 07.02.2018, registered as document No. SRP-1-06963-2017-18, Book-1, stored in CD No. SRPD134, in the Office of the Sub-Registrar, Srirangapatna.</td> </tr> <tr> <th scope="row"><strong>L. </strong></th> <td>M/s. R.R. Developers having become the Owner of the aforesaid lands measuring 18.03 Acres sold the said lands under the Sale Deed dated 24/05/2018 registered on 26/05/2018 as document No. SPR-1-01101-2018-19, Book-1, Stored in CD No. SRPD-138, in the Office of the Sub-Registrar, Srirangapatna in favour of M/s MMG Constructions LLP, the Vendor herein. </td> </tr> <tr> <th scope="row"><strong>M. </strong></th> <td>Since, certain errors in the schedule to the Sale Deed dated 25-09-2017, executed by M/s. Chemicarb Private Limited in favour of M/s. R.R Developers, had inadvertently crept in, the said errors were rectified under the Deed of Rectification dated 17-09-2018, registered as document No. SPR-1-03676-2018-19, Book-1, Stored in CD No. SRPD142, in the Office of the Sub-Registrar, Srirangapatna and simultaneously similar errors in the Sale Deed dated 24/05/2018 executed by M/s. R.R Developers in favor of M/s. MMG Constructions LLP therein were rectified under the Deed of Rectification dated 17-09-2018, registered as document No. SPR-1-03679-2018-19, Book-1, Stored in CD No. SRPD142, in the Office of the Sub-Registrar, Srirangapatna.</td> </tr> <tr> <th scope="row"><strong>N. </strong></th> <td>The Vendor herein having acquired the lands in the aforesaid manner thus became the absolute and lawful owner of the following residentially converted/Alienated lands:<br> <table class="table table-bordered" style="margin: 0 auto;text-align: center;width: 50%;margin-top: 20px;margin-bottom: 20px;"> <tbody> <tr> <td><strong>Survey Number</strong></td> <td><strong>Extent (Acres- Guntas)</strong></td> </tr> <tr> <td>15/1</td> <td>5.19</td> </tr> <tr> <td>16</td> <td>2.09</td> </tr> <tr> <td>19</td> <td>5.14</td> </tr> <tr> <td>20</td> <td>2.37</td> </tr> <tr> <td>39</td> <td>0.19</td> </tr> <tr> <td>40</td> <td>1.09</td> </tr> <tr> <td>41</td> <td>0.20</td> </tr> <tr> <td><strong>Total</strong></td> <td><strong>18.07</strong></td> </tr> </tbody> </table> which together form one contiguous piece of land, which is more fully described in the Schedule A written hereunder and hereinafter referred to as “<strong>Schedule A Property.</strong> </td> </tr> <tr> <th scope="row"><strong>O. </strong></th> <td>Thereafter the Vendor herein has got the entire land assessed to municipal taxes with the Hulikere Gram Panchayath and the Schedule A Property has come to be assigned with Municipal No. 152100700800120229 and Property No. 59/13.</td> </tr> <tr> <th scope="row"><strong>P. </strong></th> <td>Thereafter, the Vendor applied for the sanction of layout plan with the jurisdictional Town Planning Authority being Mysore Urban Development Authority, Mysore (“<strong>MUDA</strong>”) and obtained the Preliminary Layout Plan sanction vide No. MAINAPRA/NAYO/VINA/16/2019-20 for formation of a residential layout in the Schedule A Property comprising 305 residential plots. As per the scheme of development and the sanctioned layout plan, the Schedule A Property is earmarked for the purpose of formation of residential layout with residential sites comprising various sizes with parks, roads and other basic civic amenities as described in ‘<strong>Schedule C</strong>’ hereunder. The said residential layout is named as <strong>‘MMG GRAND CITY’ (“Project”)</strong> by the Vendor.</td> </tr> <tr> <th scope="row"><strong>Q. </strong></th> <td>The Vendor in pursuance of the layout plan sanction and the Commencement Certificate being granted by MUDA to develop the project vide approval dated 06/12/2019 bearing work order no. MAINAPRA/PB/KHABA/1424/2019-20 has commenced and completed substantial portion of the development work of the residential layout namely “<strong>MMG GRAND CITY</strong>” as per the norms of MUDA, Mysuru and conditions stipulated in the layout plan sanction, subsequent to which, MUDA,Mysuru has issued the Final Layout Plan and the Release Order dated: 30.12.2020 bearing No.<strong>MYNAPRA:NAYOSHA:ANTHIMAANUMODANE</strong>: 45/ 2020/21, thus releasing all the sites in the residential layout for sale, in recognition of completion of the development work in the layout.</td> </tr> <tr> <th scope="row"><strong>R. </strong></th> <td>The Vendor has registered the ‘<strong>MMG GRAND CITY</strong>” Project before the Real Estate Regulatory Authority Karnataka Vide Registration No. <strong>PRM/KA/RERA/1267/347/PR/210111/003773, Dated 11/01/2021</strong> and the RARA has issued Form-C infavour of the Vendor.</td> </tr> <tr> <th scope="row"><strong>S. </strong></th> <td>The Purchaser herein after being fully satisfied with the title of the Vendor over the Schedule A Property and various sanctions and approvals secured by the Vendor for the formation of the residential layout has offered to purchase the <strong>residential plot bearing No. 152</strong> in <strong>“MMG GRAND CITY”</strong> which is more fully described in the Schedule B and hereinafter referred to as <strong>“SCHEDULE “B” PROPERTY”</strong> for a valuable sale consideration of <strong>Rs.9,25,000/- (Rupees Nine Lakhs Twenty Five Thousand Only)</strong> and the Vendor has accepted the offer of the Purchaser and agreed to sell the Schedule B Property to the purchaser herein and allotted the <strong>residential plot bearing No. 152 (“SCHEDULE “B” PROPERTY”)</strong> vide allotment letter Dated: 22/03/2021</td> </tr> </tbody> </table> <p>The Vendor now hereby sells, conveys, transfers the title, all interest and possession of the Schedule B & C Properties <strong>TO THE PURCHASER, BY WAY OF SALE</strong>.</p> <p style="margin-bottom: 5px;"><strong>NOW THIS DEED OF SALE WITNESSES AS FOLLOWS:</strong></p> <p>That in pursuance of the aforesaid and in consideration of the payment of the sale consideration of <strong>Rs.9,25,000/- (Rupees Nine Lakhs Twenty Five Thousand Only)</strong> paid by the Purchaser to the Vendor in the following manner;</p> <table class="table"> <tbody> <tr> <th scope="row"><strong>i. </strong></th> <td><strong>Rs.90,000/- (Rupees Ninety Thousand Only)</strong> by way of <strong>Cheque No. 227560, dated: 13/02/2021</strong>, drawn on Citi Bank, Bangalore Branch, Bangalore to the vendor account No- 554201010050284, Union Bank of India, Kuvempunagar Branch, Mysore.</td> </tr> <tr> <th scope="row"><strong>ii. </strong></th> <td><strong>Rs.95,000/- (Rupees Ninety Five Thousand Only)</strong> by way of <strong>Cheque No. <input type="text" class="" placeholder="---------------" name="name" style="border: transparent;">, dated: <input type="text" class="" placeholder="------" name="name" style="border: transparent; width: 25px; text-align: right;">/<input type="text" class="" placeholder="------" name="name" style="border: transparent; width: 25px; text-align: right;">/2021</strong>, drawn on Citi Bank, Bangalore Branch, Bangalore to the vendor account No- 554201010050284, Union Bank of India, Kuvempunagar Branch, Mysore.</td> </tr> <tr> <th scope="row"><strong>iii. </strong></th> <td><strong>Rs. 7,40,000/- (Rupees Seven Lakhs Forty Thousand Only)</strong> by way of <strong>Cheque No. <input type="text" class="" placeholder="---------------" name="name" style="border: transparent;">, dated: <input type="text" class="" placeholder="------" name="name" style="border: transparent; width: 25px; text-align: right;">/03/2021</strong>, drawn on HDFC Ltd (Loan Arranged By HDFC Ltd, Vijaynagar Branch, Mysore, to the vendor account No- 554201010050284, Union Bank of India, Kuvempunagar Branch, Mysore.</td> </tr> </tbody> </table> <p>the Vendor hereby admits and acknowledges receipt of the entire sale consideration and acquits the Purchaser of any further payment and hereby grants, conveys, sells, transfers, assigns and makes over UNTO the Purchaser the Property described in Schedule ‘B’ herein, TO HAVE and TO HOLD the same ABSOLUTELY AND FOREVER.</p> <h4><strong>1) ASSURANCES:</strong></h4> <p>The Vendor hereby covenants with the Purchaser that notwithstanding anything done or knowingly suffered, the Vendor hath good title, right and absolute power to sell, transfer and convey all and singular Property hereby conveyed, being the Schedule "B" Property carved out of Schedule “A” Property, to the Purchaser and that the Schedule “B” Property and every part thereof shall at all times remain and be UNTO the Purchaser and be quietly entered into, upon, held, possessed and enjoyed by the Purchaser without any let, hindrance, interruption or disturbance by the Vendor or anyone claiming through or in trust for it. </p> <h4><strong>2) INDEMNITY:</strong></h4> <p>The Vendor shall keep the Purchaser fully indemnified against all encumbrances, claims, demands, costs and expenses occasioned or made by the Vendor or any persons having or claiming any estate, right, title or interest in or to the Property hereby conveyed. </p> <h4><strong>3) TITLE & TITLE DEEDS:</strong></h4> <p>The Vendor has already delivered to the Purchaser photo copies of all the documents of title pertaining to the Schedule “A” Property and the Purchaser has purchased Schedule ‘B' Property being satisfied with the Vendor’s title and its rights to develop Schedule 'A' Property. The Original Title Deeds shall be delivered to the Association of Owners to be formed in accordance with applicable laws after the sale of all the Plots in the layout.</p> <h4><strong>4) PROPERTY TAXES AND KHATA:</strong></h4> <table class="table"> <tbody> <tr> <th scope="row"><strong>4.1) </strong></th> <td>The Vendor has paid the Municipal taxes and other rates and outgoings in respect of the Schedule ‘B’ Property till date and the Purchaser is liable to pay the same on and from this day.</td> </tr> <tr> <th scope="row"><strong>4.2) </strong></th> <td>The Purchaser is entitled to secure Municipal Katha of Schedule ‘B’ Property from the jurisdictional Municipal Office and Vendor agrees to sign such necessary documents for the same as may be required. </td> </tr> </tbody> </table> <h4><strong>5) POSSESSION:</strong></h4> <table class="table"> <tbody> <tr> <th scope="row"><strong>5.1) </strong></th> <td>The Vendor has put the Purchaser in actual Physical possession of the Schedule “B” Property on this day, In this regard the Vendor has issued Possession certificate in favour of the Purchaser and it shall be lawful for the Purchaser at all times to peacefully and quietly hold and enjoy the Schedule Property hereby sold.</td> </tr> <tr> <th scope="row"><strong>5.2) </strong></th> <td>The Purchaser hereby confirms having taken possession of the Schedule ‘B’ Property and before taking the possession, the Purchaser has inspected and verified everything, including the following:<br> <ul> <li>a) Correctness of the measurement of the Schedule 'B' Property.</li> <li>b) Amenities provided in Schedule 'B' Property as per the sanctioned layout plan and Schedule C hereunder.</li> <li>c) Project being in conformity with Sanctioned Layout Plan.</li> </ul> </td> </tr> <tr> <th scope="row"><strong>5.3) </strong></th> <td>The Purchaser hereby declares and confirms that he/she has no claims against the Vendor in relation to sale of Schedule ‘B' Property and the development of the Project whatsoever and hereby confirms that the Vendor has complied with all its obligations to the satisfaction of the Purchaser and hereby fully and completely discharge the Vendor from all its obligations except those specifically reserved under this Sale Deed. </td> </tr> </tbody> </table> <h4><strong>6) RIGHTS OF THE PURCHASER:</strong></h4> <p>The Purchaser shall have the rights as mentioned below on purchase of Residential Plot:</p> <table class="table"> <tbody> <tr> <th scope="row"><strong>(i) </strong></th> <td>Exclusive ownership of the Residential Plot;</td> </tr> <tr> <th scope="row"><strong>(ii) </strong></th> <td>Right to use the civic amenities like roads, parks etc., in the project along with other Purchasers, maintenance staff etc., without causing any inconvenience or hindrance to them. </td> </tr> <tr> <th scope="row"><strong>(iii) </strong></th> <td>Right to free and uninterrupted passage of water, gas, electricity, sewerage etc., from and to the Schedule ‘B’ Property through the pipes, wires, sewer lines, drain and water courses, cables which are or may at any time hereafter be, in under or passing through the Schedule ‘A’ Property or any part thereof;</td> </tr> </tbody> </table> <h4><strong>7) OBLIGATIONS OF THE PURCHASER:</strong></h4> <table class="table"> <tbody> <tr> <th scope="row"><strong>(i) </strong></th> <td>To maintain the said Residential Plot and the building that may be constructed thereon at his own cost in good and tenantable condition, from this date and in the event of the Purchaser committing any act in contravention of the above provision, the Purchaser shall be responsible and liable for the consequences thereof to the concerned authority.</td> </tr> <tr> <th scope="row"><strong>(ii) </strong></th> <td>To comply with all the rules and regulations as may be prescribed by the Competent Authority and/or the Association of Owners.</td> </tr> <tr> <th scope="row"><strong>(iii) </strong></th> <td>The Purchaser hereby agrees to pay the necessary Goods and Service Tax (GST) along with any other new levies/charges/taxes if made applicable to the project by the Central and / or State Government at any later date for the developmental works carried out and for sale of the residential plot i.e., Schedule B Property by the Vendor with respect to the Project within 15 (Fifteen) days from the date of intimation of such levy of GST and any other taxes. </td> </tr> <tr> <th scope="row"><strong>(iv) </strong></th> <td>To use and enjoy all the Civic Amenities in the Project such as roads, parks and open spaces, common electrical lines and lighting, water lines, sewers, drains, pipes, internal roads, pavements etc., more particularly in common along with other Purchasers of plots in the Project. </td> </tr> <tr> <th scope="row"><strong>(v) </strong></th> <td>To participate in the formation and subscribe to become the member of the Association of Plot Owners that may be formed in accordance with the Applicable laws and make all such contributions by way of maintenance charges or any other charges, as may be required under the Bye Laws of the Association for the maintenance of the Civic Amenities and facilities in the layout.</td> </tr> <tr> <th scope="row"><strong>(vi) </strong></th> <td>Till the layout comes under the jurisdictional Municipal Authority and the formation of Residential owners Association by the Purchasers of plots/sites in “MMG GRAND CITY”, the Vendor shall undertake the maintenance and upkeep of common areas and roads and facilities in “MMG GRAND CITY” in Schedule ‘A’ Property or entrust the same to any Maintenance Company of its choice for a period of 5 (five) years from the date of obtaining the Final Layout plan sanction and thereafter entrust the same to the Association to be formed by the Residential Owners of plots/sites in “MMG GRAND CITY”. The Purchasers shall pay to Vendor or Maintenance Company or owners Association, as the case may be proportionate sums for maintenance of common areas and facilities in “MMG GRAND CITY”.</td> </tr> <tr> <th scope="row"><strong>(vii) </strong></th> <td>That the Purchaser has agreed to pay such amount/charges including taxes, if any towards sinking fund to the Vendor as arrived after due consideration of the cost factor involved to maintain the layout. The Vendor shall utilize the said fund for maintenance of the entire layout and for providing the basic civic amenities namely Security, Common Area (Roads and Park) cleaning, common area lighting, STP Motor Pump and Cleaning Charges, common area landscaping, salaries of plumbers and electricians. Any expenses other than specified above including the pro-rata water charges purchased from outside shall be paid by the Vendor. The Vendor shall utilize the sinking fund for meeting all the expenses of the layout as enumerated herein and the Purchaser has agreed for paying such additional charges or fee that may be sought by the Vendor in the event of the sinking fund being exhausted.
